These terms and conditions of use (the Terms of Use) apply to the entire contents of the website under the domain name www.cfwi.org.uk (the CfWI website). They are the terms and conditions on which you are entitled to use the CfWI website, whether as a guest or a registered user. Please read these Terms of Use carefully before using the CfWI website. Any rights not expressly granted in these Terms of Use are reserved.

By using the CfWI website, you acknowledge that you have read, understood and accept these Terms of Use.  If you do not fully accept the Terms of Use, please do not use the CfWI website.

1              Information about us

1.1          These Terms of Use are issued by Mouchel Management Consulting Limited (MMC), the operator of the CfWI website, whose company number is 2491619 and whose registered office is at Export House, Cawsey Way, Woking, Surrey, GU21 6QX.

The Centre for Workforce Intelligence (the CfWI) is an independent agency working on specific projects for the Department of Health and is an operating unit within Mouchel Management Consulting Limited and any reference to CfWI in these Terms of Use shall mean MMC.

2              Accessing the CfWI website

2.1          The CfWI reserves the right to make changes to the CfWI website and these Terms of Use at any time and without notice. You should check this page on the CfWI website from time to time to review the current Terms of Use because they are binding on you.

2.2          Access to the CfWI website may be suspended temporarily and without notice, including in the case of system failure, maintenance or repair or for reasons beyond CfWI's control.

2.3          The CfWI shall not be liable if for any reason the CfWI website is unavailable at any time or for any period.

3              Your use of the CfWI website

3.1          You agree to abide by all applicable laws, regulations and codes of conduct that may apply to your use of the CfWI website and to be solely responsible for all things arising from your use of the CfWI website.

3.2          You must not:

(a)           do anything to damage, interfere with or disrupt access to the CfWI website or misuse the CfWI website in a way that may impair its functionality (such as knowingly introducing viruses, Trojans, worms, logic bombs or other material which is malicious or technologically harmful); or

(b)           obtain or attempt to obtain unauthorised access to the CfWI website, servers, computer systems or areas of our network which are identified as, or which you ought reasonably to be aware are, restricted by whatever means (including, without limitation, hacking).

Any breach of this provision will result in the immediate termination of your right to use the CfWI website.

3.3          You are responsible for ensuring that your computer systems and equipment are capable of accessing and inter-operating with the CfWI website and its contents. You are advised to virus-check all materials and/or content accessed and/or downloaded from the CfWI website using the latest commercially available virus checking software.

4              Your use of the CfWI website content

4.1          The copyright and other intellectual property rights in the CfWI website and all material on it are either owned by the CfWI or licensed to it by third-party licensers, such as the Department of Health.

4.2          The CfWI cannot guarantee that you have any right to use third-party owned content which is available on the CfWI website and you must obtain permission from the third-party owner before using or downloading such content.

4.3          The CfWI hereby authorises you to copy and/or download extracts of materials published on the CfWI website (except for third-party content) for non-commercial, personal use only, provided that any copy of the extracts which you make shall retain all copyright and other proprietary notices and any disclaimer contained on those documents. If you breach any of these usage provisions, your permission to use the CfWI website will automatically terminate and you must immediately destroy any downloaded or printed extracts from the CfWI website.

4.4          Except as expressly provided in clause 4.3 above, you may not otherwise copy, display, download, distribute, modify, reproduce, republish or retransmit any images, text, materials or works contained in the CfWI website or any portion thereof in any electronic medium or in hard copy, or create any derivative work based on such images, text, materials or works, without the express written consent of the CfWI.

4.5          No information or statement contained in these Terms of Use shall be construed as conferring any licence or right under any copyright, trademark or other intellectual property right of the CfWI or any third party.  No trademark or logos featured on this website may be used or reproduced without the prior consent of the CfWI or its third party licensers.

5                   Your content

5.1            Any communication or other material that you send to us through the internet or post on the CfWI website by electronic mail or otherwise, such as any questions, comments or suggestions, are and will be deemed to be non-confidential and non-proprietary and the CfWI shall have no obligation of any kind with respect to such information.  By sharing any contribution (including any text, photographs, graphics, video or audio) with us you agree to grant us an irrevocable, royalty-free, worldwide, perpetual, non-exclusive licence to use, copy, reproduce, distribute, disclose and display the material in any way we want (including modifying it, creating derivative works from it or deleting it).

5.2            By contributing content to the CfWI website, you agree to waive any moral rights in your contribution for the purposes of its submission to and publication on the CfWI website and the other purposes specified above.  You also acknowledge and agree that your contribution may be copied or downloaded by other users of the CfWI website.

5.3          In order that we can use your contribution, you confirm that your contribution is your own original work, is not defamatory and does not infringe any laws and that you have the right to give us permission to use it for the purposes specified above. The CfWI is permitted to disclose your identity to any third party who is claiming that any material posted or uploaded by you to the CfWI website constitutes a violation of their intellectual property rights, or their right to privacy.

6.1          In the course of using the CfWI website, you may submit personal data that will be used by CfWI in accordance with our privacy policy.

10            Liability

10.1        Nothing in the Terms of Use shall exclude or limit the CfWI's liability for:

(c)           fraudulent misrepresentation; or

(d)           any other liability which cannot be excluded or limited by law.

10.2        Subject always to 10.1, the CfWI and all parties involved in creating, producing and delivering the CfWI website exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, loss of profits, loss of goodwill, loss of data, loss of contracts or loss or damages arising from or connected in any way to business interruption, and whether in tort (including without limitation negligence), contract or otherwise) in connection with the CfWI website in any way or in connection with the use, inability to use or the results of use of the CfWI website, any websites linked to the CfWI website or the material on such websites, including but not limited to loss or damage due to viruses that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing the CfWI website or your downloading of any material from the CfWI website or any websites linked to the CfWI website.

10.3        If and to the extent that the CfWI's exclusion of liability in clause 10.2 is not enforceable, subject to clause 10.1, the CfWI's total liability in connection with the CfWI website shall be capped at £1 million.

11            Indemnity

11.1        You agree to indemnify the CfWI against any loss, liability, damage, cost, expense, claim or injury threatened against or incurred or suffered by the CfWI as a result of your failure to comply with any of the Terms of Use or your improper or unlawful use of the CfWI website.

12            Transfer

13            Severability

13.1        If any court or administrative body of competent jurisdiction finds any provision in these Terms of Use to be invalid, unenforceable or illegal, the other provisions in these Terms of Use shall remain in force.

13.2        If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted, the provisions shall apply with whatever modifications necessary to make it valid, enforceable and legal.

14            Governing law and jurisdiction

14.1        These Terms of Use shall be governed by and construed in accordance with English law.  Disputes arising in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the English courts.
